Terms of Service

1. Agreement to terms

By accessing or using LendReady's websites, applications, or related services (collectively, the "Services"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.

2. Description of services

LendReady provides tools and workflows to help real estate investors explore financing scenarios, submit information, and receive indicative terms or documents such as term sheets. Final credit decisions, rates, and loan terms are subject to underwriting, verification, and applicable law — not everything shown in the application is a commitment to lend.

3. Eligibility and accounts

You must be at least 18 and able to form a binding contract. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate, current, and complete information and to update it as needed.

4. Acceptable use

You agree not to:

• Use the Services for any unlawful purpose or in violation of these Terms;
• Attempt to gain unauthorized access to systems, data, or other users' accounts;
• Interfere with or disrupt the Services or servers;
• Scrape, mine, or automate access to the Services except as expressly permitted;
• Upload malware or harmful code;
• Misrepresent your identity or affiliation.

5. Intellectual property

The Services, including software, design, text, graphics, and trademarks, are owned by LendReady or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Services for your personal or internal business purposes. We reserve all rights not expressly granted.

6. Third-party services

The Services may link to or integrate with third-party sites or services (e.g. maps, sign-in). Those third parties have their own terms and privacy policies. We are not responsible for their content or practices.

7. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL LENDREADY OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100), EXCEPT WHERE PROHIBITED BY LAW.

9. Indemnity

You will defend, indemnify, and hold harmless LendReady and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your content, or your violation of these Terms.

10. Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice. Provisions that by their nature should survive (including disclaimers, limitations of liability, and indemnity) will survive termination.

11. Governing law and disputes

These Terms are governed by the laws of the State in which LendReady principally operates, without regard to conflict-of-law rules. Unless prohibited by applicable law, you agree that exclusive jurisdiction for disputes will lie in the courts of that State, and you waive any objection to venue in those courts. (Product and legal teams should replace this with your chosen jurisdiction and any arbitration clause.)

12. Changes

We may modify these Terms at any time. We will post the updated Terms and update the "Last updated" date. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
